Terms and conditions governing your use of Media Wire’s press release writing and distribution and/or distribution only service(s) (collectively, the “Service”):

1. Use

A. You are responsible for the content and accuracy of all news copy and other information submitted by you to Media Wire or entered into the Service (the “Submitted Materials”). You are also responsible for the content and accuracy of all news copy and other information written by our subcontracted writers and approved by you to Media Wire or entered into the Service. Media Wire is not responsible for any claims or falsified information made in a press release that we write and submit or simply submit on your behalf. Due to the sheer volume of information we process daily, we cannot be expected to fact-check all the claims made on your website or in your order form. All Submitted Materials (including orders for writing) must follow Media Wire’s editorial guidelines which can be found on Media Wire’s website and are subject to change at any time at Media Wire’s discretion. Media Wire’s writers are not obliged to contact any client by phone at any time, as this is not part of Media Wire’s service. All communications are done via email, and any requests for phone contact with writers will be denied.

B. Media Wire reserves the right to deny or edit any third-party submitted materials, provided that substantive edits to the materials will not be done without your (the client’s) consent; and (2) to delete any press release from the website, remove it from distribution, or deny any press release that is submitted. Once any press release has gone live, Media Wire can only remove it from their own network and makes no warranty to remove it from any of its third-party networks or from sites outside the Media Wire consolidated network.

C. Media Wire makes every effort to properly syndicate all press releases professionally and accurately. Any mistakes that are clearly the fault of Media Wire will be corrected immediately without additional charge to the client, and such obligation to amend constitutes Media Wire’s sole liability in this regard. If a press release is not distributed within 15 days of the original order, Media Wire will give you your next PR for free. Media Wire guarantees that all press releases will be written within 72 hours of receiving complete details for the order. Should the writer contact you, your response time to any email is added to the 72-hour period.

D. All orders to Media Wire must contain a user-supplied contact name, phone number, and email address that may be verified by Media Wire.

E. Media Wire delivers press releases via online distribution channels to make said content available for redistribution. Media Wire is not responsible for who picks up a press release or how it is used by third parties.

You shall not query, crawl, or covertly access any of Media Wire’s systems without the express written consent of Media Wire.

F. Media Wire submits all relevant packages to the Associated Press network for editorial review. However, since they are a third-party entity operating under their own internal protocols, Media Wire cannot guarantee distribution there. Media Wire only guarantees that releases from relevant packages will be submitted to the Associated Press network, and it will be at their editors’ discretion whether or not they publish the story. Media Wire is not responsible for press releases that fail to be published on any sites within the Associated Press network. This applies to all media outlets that Media Wire submits your release to, as each site operates independently and makes its own editorial decisions.

G. Should a glitch or mistake occur on a website that is not a direct partner of Media Wire, and the error was not in the original copy that Media Wire distributed to the channel, Media Wire cannot be held responsible. By purchasing a press release from Media Wire, you acknowledge that third-party websites might post your content incorrectly and accept that Media Wire is not liable for such mistakes.

H. Media Wire is not responsible for how links appear on third-party websites. If hyperlinks are stripped or removed, Media Wire is not liable, as each third-party site displays links according to its internal protocol.

I. Media Wire is not responsible for the lifespan of your release on each third-party website. Some may host your release indefinitely, while others may remove “old news” after a certain period.

2. Billing

A. All amounts paid are nonrefundable and subject to the discretion of Media Wire. Media Wire reserves the right to modify its fees and charges and to introduce new charges at any time. If Media Wire decides a client is entitled to a refund, it may withhold part of the payment to cover costs already incurred for writing, distribution, or both—depending on the status of the order when the refund was requested.

B. All fees exclude taxes, levies, or duties imposed by taxing authorities. You are responsible for all such taxes except U.S. federal or state taxes based solely on Media Wire’s income.

C. You agree to pay up front for any service provided to you by Media Wire.

D. All fees will be billed in U.S. dollars.

E. Any credits purchased are valid for 6 months (180 days), after which they will expire. Credits must be fully processed—written, distributed, and ticket created—before the deadline.

3. Warranties; Limitation of Liability

A. You represent and warrant to Media Wire that (i) you have the right to deliver the Submitted Materials to Media Wire; (ii) you will comply with all applicable laws, including COPPA and anti-spam laws; (iii) the Submitted Materials will not contain any obscene, defamatory, false, misleading, or otherwise unlawful content; and (iv) the Submitted Materials will not include malicious code that could disrupt computer systems.

B. MEDIA WIRE MAKES NO WARRANTIES, EXPRESS OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE). MEDIA WIRE DOES NOT GUARANTEE THE SERVICE WILL BE FREE FROM ERRORS, INTERRUPTIONS, OR DEFECTS.

C. Media Wire’s total liability is limited to your actual direct damages, not exceeding the amount you paid in the twelve months before the claim. MEDIA WIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

D. Media Wire’s writers are subcontractors. Media Wire is not responsible for their actions outside the parameters set upon hiring. If writers breach these boundaries, they will be replaced, and the release will be completed. Once a client approves a release, all responsibility lies with the client. Private agreements made outside of Media Wire release Media Wire from any related liability.

E. While Media Wire allows you to embed a YouTube video, it does not guarantee its inclusion on all networks. It will only appear on distribution channels that support video embedding.

4. Indemnification

A. Media Wire will indemnify you against third-party claims that the Service infringes intellectual property rights, excluding claims related to (i) unauthorized modifications; (ii) use with unauthorized software/hardware; or (iii) failure to use the Service as directed.

B. You will indemnify Media Wire, its affiliates, and third-party vendors against any claim arising from your breach of this agreement or from your Submitted Materials.

C. Indemnification requires that: (i) the Indemnitee promptly notify the Indemnitor; (ii) the Indemnitor controls the defense; and (iii) the Indemnitee cooperates at the Indemnitor’s expense.

D. If a claim of infringement arises, Media Wire may (i) secure your right to use the Service, (ii) modify the Service, or (iii) terminate your access and refund a prorated fee.

5. Miscellaneous

A. Media Wire’s operations are subject to Federal and State regulations.

B. Certain Service content is protected by intellectual property rights. You may not use Media Wire’s trademarks or other protected content without permission. All rights not explicitly granted are reserved.

C. You may not present yourself as affiliated with or endorsed by Media Wire. You agree not to defame Media Wire or reverse-engineer the Service.

D. You consent to receive communications via email, phone, or mail using the contact details on your account. You may update these by written notice. Media Wire may choose to communicate solely by email.

E. By using the Service, you agree to these terms. If you represent a company, you affirm you have authority to bind that entity. Violating these terms may lead to legal action, including account termination.

F. You are responsible for all activity under your account and compliance with applicable laws. These obligations bind your heirs and assigns.

G. Google News inclusion: While most Media Wire releases are picked up by Google News, this cannot be guaranteed due to Google’s independent editorial policies. Media Wire will consider reparations if your release is not published on that network.

H. Media Wire may update these terms at any time. Continued use of the Service after changes implies your consent.

I. You and Media Wire are independent contractors. Nothing herein creates an agency or employment relationship.

J. This agreement is governed by Maryland law. Any disputes shall be resolved in Maryland state or federal courts. The UN Convention on Contracts for the International Sale of Goods does not apply.
